Plastika Kritis plans full acquisition of Morocco’s Naturplas Industrial
Plastika Kritis has signed a letter of intent to acquire 100% of Moroccan agricultural-film producer Naturplas Industrial. The Tetouan-based company expects 2026 sales of €20 million after new equipment more than doubled its production capacity.
Agreement targets full ownership
Greek plastics producer Plastika Kritis has signed a letter of intent to acquire 100% of Naturplas Industrial SARL, a Moroccan manufacturer of plastic films for greenhouse covers and other agricultural applications. The proposed transaction would add a production site in Tetouan to the Greek group’s international manufacturing footprint.
Newsit.gr, Newmoney.gr and Sofokleousin.gr reported that Plastika Kritis intends to purchase all shares in Naturplas Industrial. The transaction is expected to close within the next quarter. No acquisition price has been disclosed: the final consideration will be determined using specified financial data from the Moroccan company. Plastika Kritis said it would update investors on the transaction’s progress and completion in accordance with applicable legislation.
New equipment lifts production capacity
Naturplas Industrial generated sales of €12.5 million in 2025, according to the three publications. Its sales are estimated to rise to €20 million in 2026, an increase of €7.5 million. That forecast would represent growth of 60% from the previous year, although the sources did not provide profit figures, production volumes or the utilization rate of the expanded plant.
The Moroccan company operates a modern industrial facility in Tetouan. At the beginning of 2026, it completed an investment in new production equipment that, according to Plastika Kritis, more than doubles its capacity. The additional equipment provides room for further growth, but neither the value of the investment nor the facility’s capacity in tonnes was disclosed. The acquisition would therefore give Plastika Kritis control of an recently expanded asset rather than requiring the group to establish a Moroccan operation from the ground up.
Morocco offers a regional production platform
Plastika Kritis identified Morocco’s large and growing domestic market as one reason for the transaction. The company also pointed to competitive costs for raw materials, energy and labor. Those factors are directly relevant to agricultural-film manufacturing, where input and conversion costs influence the competitiveness of greenhouse covers and other plastic products sold to growers.
Morocco’s geographical position and trade agreements could also support Naturplas Industrial’s exports to Europe, the Middle East and Africa, the publications reported. A Tetouan production base would place Plastika Kritis close to European markets while retaining access to customers across North and wider Africa. For buyers of greenhouse and agricultural films, the expanded facility could provide additional regional supply capacity. The commercial impact will depend on execution of the capacity increase, demand in the Moroccan market and Naturplas Industrial’s ability to develop sales across the three target regions. Completion also remains subject to the steps required after the letter of intent, while the undisclosed purchase price leaves the deal’s valuation and immediate financial contribution open until further information is released.
