Executive Summary

These Terms of Use form a binding agreement governing access to and use of Shev.io's SaaS platform, including subscriptions (monthly/annual), one-time purchases, and credits-based usage. They include strict controls against scraping/parsing and limit Content use to internal company purposes only. Fees are generally non-refundable except where mandatory law requires otherwise. Liability is capped to the amount paid in the prior 12 months, and users agree to indemnify Shev.io for misuse.

1. Acceptance of Terms

By accessing or using the Service, creating an account, purchasing a subscription, buying credits, or making a one-time purchase, you agree to these Terms.

If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and Shev.io. Your continued use of the Service after any modifications to these Terms constitutes acceptance of those modifications.

"Team Members" Users invited by a Customer to share subscription benefits under the Customer's team plan.
"Subscription" A recurring paid plan (monthly or annual) providing access to the Service according to the purchased tier.
"Credits" Prepaid usage units that enable metered actions (such as views, exports, or report generation) as described at purchase.
"One-Time Purchase" A non-recurring purchase of specific Content or Report(s).
"Demo" Limited access to a restricted database and limited views for evaluation purposes, available to registered users without an active subscription.
"Operator" Shev.io and its authorized representatives.
"Intellectual Property" All patents, copyrights, trademarks, trade secrets, database rights, and other intellectual property rights.

5. Eligibility and Authority

5.1 Age Requirement

You must be at least 18 years old and able to form a legally binding agreement to use the Service.

5.2 Authority to Bind

If you use the Service on behalf of a company, organization, or other legal entity, you represent and warrant that:

  • You have the authority to bind that entity to these Terms
  • You have obtained all necessary approvals and consents
  • "You" and "Customer" refer to the entity throughout these Terms

5.3 Prohibited Users

The Service may not be used by:

  • Individuals or entities on any applicable sanctions lists
  • Persons located in jurisdictions where the Service is prohibited
  • Anyone previously suspended or terminated from the Service

6. Account Registration and Security

6.1 Account Creation

You may need an account to access certain parts of the Service. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and secure
  • Promptly notify Shev.io of any unauthorized access or security breach

6.2 Account Responsibility

You are responsible for all activities performed under your account, including by Permitted Users and Team Members. You agree to:

  • Monitor account usage for compliance with these Terms
  • Ensure Permitted Users understand and comply with these Terms
  • Bear responsibility for any violations by users under your account

6.3 Single Device Session Policy

Shev.io implements a single device login policy for security purposes. When you log in from a new device:

  • All other active sessions will be automatically terminated
  • This helps prevent unauthorized account sharing and credential compromise
  • Your complete login history is tracked and available in your account security settings

6.4 Security Measures

Shev.io may implement security controls including:

  • Rate limiting and request throttling
  • Session management and device fingerprinting
  • Anomaly detection and fraud prevention
  • Multi-factor authentication (when available)
  • Additional verification for suspicious activities

7. Commercial Access Models Overview

Shev.io offers multiple ways to access Content and features:

8. Demo Access (Evaluation)

8.1 Demo Purpose

Demo access is provided solely for evaluation purposes to help you determine whether to purchase paid access.

8.2 Demo Limitations

Demo access includes:

  • Limited database scope (historical data only, restricted to older years)
  • Limited number of report views
  • Limited features compared to paid subscriptions
  • Restricted data freshness (current year data not available)

8.3 Demo Modifications

Shev.io reserves the right to modify, suspend, or terminate Demo access at any time without liability or notice.

8.4 No Download Rights

Demo access does not grant download or export rights unless explicitly stated.

9. Subscriptions, Credits, and Ordering

9.1 Subscriptions

Subscriptions begin on the date of purchase and continue for the billing period (monthly or annual). Unless you cancel before the renewal date:

  • The subscription automatically renews for the same period
  • You will be charged at the then-current price
  • Price changes will be communicated in advance where required by law

9.2 Team Subscriptions

If your subscription plan includes Team functionality:

  • You may invite Team Members up to the limit specified in your plan
  • Team Members share your subscription benefits
  • You remain responsible for all Team Member activities
  • Team Member access ends when your subscription ends or when you remove them

9.3 Credits

Credits provide access to metered usage features. Credits:

  • Are non-transferable and non-sublicensable
  • Have no cash value and cannot be redeemed for cash
  • May expire if an expiration period is disclosed at purchase or in-product
  • Are consumed based on actions as described at purchase (e.g., report generation, exports)
  • Cannot be transferred between accounts
  • Are not refundable except where required by mandatory law

9.4 One-Time Purchases

One-time purchases grant access to the specific Content/Report(s) described at checkout. Access scope is limited by the license restrictions in these Terms.

9.5 No Public API

Shev.io does not provide a public API under these Terms. Any automated access, extraction, or integration requires prior written consent from Shev.io and may require a separate agreement with additional terms and fees.

10. Billing, Payment Processing, and Cancellation

10.1 Payment Processing

Payments are processed by Stripe, Inc. and its affiliates. Shev.io does not store full payment card numbers on its own systems. By making a purchase:

  • You agree to Stripe's terms of service and privacy policy
  • You authorize Stripe to charge your selected payment method
  • You confirm that you are authorized to use the payment method

10.2 Pricing and Currency

  • All prices are displayed in US Dollars (USD) unless otherwise specified
  • Prices are subject to change with reasonable notice
  • Existing subscriptions maintain their price until the next renewal period after a price change

10.3 Taxes

Fees are exclusive of taxes unless stated otherwise. You are responsible for:

  • All applicable taxes, levies, duties, or similar governmental assessments
  • VAT, GST, sales tax, or other transaction taxes
  • Providing accurate tax information if requested

Shev.io is not responsible for taxes based on Shev.io's net income.

10.4 Auto-Renewal

Subscriptions renew automatically unless canceled before the renewal date. Renewal charges will be processed using your payment method on file.

10.5 Cancellation

You can cancel auto-renewal through:

  • In-product billing controls in your account settings
  • Contacting us at support@shev.io

After cancellation:

  • Your subscription remains active until the end of the current billing period
  • You will not be charged for the next billing period
  • You will not receive a refund for unused time (except where mandatory law requires otherwise)
  • You retain access to previously downloaded Reports

10.6 Failed Payments

If a payment fails or is reversed, Shev.io may:

  • Retry the charge using your payment method on file
  • Suspend access until payment is resolved
  • Downgrade access to Demo level
  • Terminate access for persistent non-payment (typically after 30 days)
  • Refer unpaid amounts to collections

11. Refund Policy

All fees are non-refundable and non-cancellable except where mandatory consumer protection law in your jurisdiction requires otherwise.

11.1 Goodwill Accommodations

Shev.io may, at its sole discretion, offer goodwill credits, subscription extensions, or other accommodations in exceptional circumstances. Such accommodations:

  • Are not guaranteed and do not create precedent
  • Are offered on a case-by-case basis
  • Do not waive any rights under these Terms

12. License Grant and Permitted Use

12.1 Limited License

Subject to your compliance with these Terms and payment of applicable fees, Shev.io grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and Content during your active Subscription, Credits availability, or One-Time Purchase access period.

12.2 Internal Company Use Only

Content (including Reports) is licensed for internal business use only within the Customer organization.

If the Customer is a company:

  • Only employees of that company may use the Content for internal purposes
  • Sharing Content with contractors, consultants, freelancers, agencies, or any external service providers is prohibited
  • Sharing Content with affiliates, partner organizations, or other legal entities (even within the same corporate group) is prohibited unless Shev.io provides prior written consent or you purchase an appropriate multi-entity license
  • Team Members invited through the platform are considered authorized users within these restrictions

12.3 Restrictions on Redistribution and Publication

You may not, without prior written consent from Shev.io:

  • Sell, resell, rent, lease, sublicense, distribute, gift, or transfer Content
  • Publish Content publicly (including on websites, social networks, messengers, data rooms, repositories, or file-sharing services)
  • Provide access through third-party services if third parties can view, download, or reuse Content
  • Create derivative datasets or competing products based on the Service or Content
  • Use Content in any form of commercial redistribution
  • Share account credentials or allow unauthorized access
  • Frame or mirror any portion of the Service

12.4 Limited Internal Quotations

Short quotations/excerpts are permitted only for internal documentation (internal notes, internal presentations, internal correspondence, internal reports), provided:

  • The meaning and context are preserved
  • The source is attributed as "Shev.io" or "Source: shev.io"
  • The excerpts are not the primary content of the document
  • Any use in materials accessible to third parties requires prior written consent

12.5 License Termination

Your license terminates immediately upon:

  • Expiration or cancellation of your subscription
  • Depletion of your credits
  • Termination of your account
  • Breach of these Terms
  • Non-payment of fees

13. Strict Prohibition on Scraping, Parsing, and Automated Extraction

This section is strictly enforced. Violations will result in immediate account termination and may result in legal action.

13.1 Prohibited Activities

You must not, and must not permit others to:

  • Scrape, crawl, spider, or use bots to access or extract data from the Service
  • Parse or systematically copy Content, including via automation, scripts, headless browsers, browser extensions, or RPA tools
  • Replicate or rebuild Shev.io databases or datasets
  • Bypass paywalls, view limits, credit limits, or technical restrictions
  • Circumvent rate limiting or access controls
  • Reverse engineer, decompile, disassemble, or attempt to derive source code, algorithms, data models, or underlying methodologies
  • Conduct penetration testing, security scanning, or vulnerability probing without prior written consent
  • Access the Service by means other than publicly supported interfaces
  • Use browser automation tools to interact with the Service
  • Export data in bulk beyond the limits of your subscription tier
  • Use any data extraction tools or services on the Service

13.2 Technical Measures

Shev.io implements technical measures to detect and prevent unauthorized access, including:

  • Request fingerprinting and anomaly detection
  • Rate limiting and traffic analysis
  • CAPTCHA and bot detection
  • Session validation and device tracking
  • IP blocking and network analysis

13.3 Enforcement

Violations of this section may result in:

  • Immediate account suspension or termination
  • Blocking of IP addresses, devices, or networks
  • Legal action seeking injunctive relief and damages
  • Reporting to law enforcement where appropriate

14. Acceptable Use Policy

14.1 Prohibited Uses

You agree not to use the Service:

  • For illegal activities or to violate any applicable laws
  • To infringe any intellectual property, privacy, or confidentiality rights
  • To transmit malware, viruses, or attempt to disrupt the Service
  • To generate or send spam, unsolicited marketing, or abusive communications
  • To impersonate others or misrepresent your affiliation
  • To build or benchmark a competing product for commercial redistribution
  • To engage in any activity that could damage, disable, or impair the Service
  • To access accounts or data belonging to other users
  • To use the Service to harm minors in any way

14.2 Compliance

You agree to:

  • Comply with all applicable laws, regulations, and third-party rights
  • Use the Service only for lawful business purposes
  • Not interfere with other users' use of the Service

15. User Inputs and Uploaded Content

15.1 Customer Inputs

If the Service allows you to submit inputs (queries, prompts, parameters) or upload content (files), you retain ownership of your submitted materials ("Customer Inputs").

15.2 License to Shev.io

You grant Shev.io a limited, worldwide, royalty-free license to host, process, display, and transform Customer Inputs solely to:

  • Provide and improve the Service
  • Prevent abuse and ensure security
  • Comply with legal obligations
  • Generate aggregated, anonymized analytics

15.3 Your Representations

You represent and warrant that:

  • You have all necessary rights to submit Customer Inputs
  • Your Customer Inputs do not violate any law or third-party rights
  • Your Customer Inputs do not contain malware or harmful code
  • Your Customer Inputs do not infringe any intellectual property rights

16. Ownership and Intellectual Property

16.1 Shev.io Ownership

The Service, all Content, and all associated intellectual property are owned by Shev.io or its licensors and are protected by copyright, trademark, database rights, and other intellectual property laws.

16.2 No Transfer of Rights

Except for the limited license granted above, no rights are transferred to you. You may not:

  • Remove or obscure any proprietary notices
  • Claim ownership of any Shev.io Content
  • Register any trademarks, domain names, or social media accounts using Shev.io's marks
  • Challenge Shev.io's ownership of its intellectual property

16.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Shev.io a perpetual, irrevocable, royalty-free license to use such feedback without restriction or compensation.

16.4 Data Ownership

All data, compilations, databases, analyses, and statistical outputs generated by Shev.io remain the property of Shev.io. Your license grants only usage rights, not ownership.

17. Service Availability and Changes

17.1 No Uptime Guarantee

THE SERVICE IS PROVIDED WITHOUT ANY GUARANTEE OF AVAILABILITY OR UPTIME. Shev.io does not guarantee:

  • Continuous, uninterrupted access to the Service
  • Any specific level of uptime or availability (no SLA is provided)
  • That the Service will be available at any particular time
  • That the Service will be free from outages, errors, or interruptions

17.2 Service Interruptions

The Service may be unavailable due to:

  • Scheduled or unscheduled maintenance
  • Technical failures or infrastructure issues
  • Third-party service outages
  • Security incidents or investigations
  • Force majeure events
  • Any other reason at Shev.io's discretion

Shev.io shall have no liability for any downtime, service interruption, or unavailability of the Service, regardless of cause or duration.

17.3 No Compensation for Downtime

You acknowledge that:

  • No refunds, credits, or compensation will be provided for downtime
  • Subscription periods will not be extended due to service unavailability
  • Credits will not be restored due to service interruptions

17.4 Feature Changes

Shev.io may update, modify, or discontinue features, Content, or parts of the Service at any time without notice. Shev.io does not guarantee that any specific:

  • Dataset will remain available
  • Feature will continue to function
  • Output format will remain unchanged
  • Update frequency will be maintained

17.5 Usage Limits

Shev.io may impose reasonable usage limits, including:

  • Rate limits and request throttling
  • View and download limits
  • Credit consumption rules
  • Export quantity and frequency limits
  • File size limits

17.6 Maintenance Windows

Shev.io may perform maintenance at any time. Where reasonably possible, we will provide advance notice of scheduled maintenance, but such notice is not guaranteed.

18. Data Sources and Methodology

18.1 Third-Party Data

The Service incorporates data from various third-party sources, including governmental agencies, international organizations, and other publicly available data sources.

18.2 Processing and Limitations

  • Data is processed, aggregated, and presented using automated systems
  • Methodologies may change without notice
  • Different sources may have different coverage, timeliness, and accuracy
  • Shev.io does not guarantee the accuracy, completeness, or timeliness of underlying data

18.3 AI-Generated Content

Certain Content may be generated or enhanced using artificial intelligence and machine learning systems. Such Content:

  • May contain errors, inconsistencies, or inaccuracies
  • Is not verified by humans unless explicitly stated
  • Should be independently verified before reliance

19. Disclaimers

19.1 "As Is" Provision

THE SERVICE AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

19.2 Disclaimer of Warranties

To the maximum extent permitted by law, Shev.io disclaims all warranties, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, completeness, or timeliness
  • Uninterrupted or error-free operation
  • Compatibility with your systems or requirements
  • Suitability for any specific use case

19.3 No Professional Advice

Content is provided for informational purposes only and does not constitute:

  • Financial, investment, or trading advice
  • Legal advice
  • Tax or accounting advice
  • Regulatory or compliance advice
  • Professional consulting or fiduciary services

19.4 User Responsibility

You are solely responsible for:

  • How you use the Content
  • Decisions made based on the Content
  • Verifying Content accuracy for your purposes
  • Compliance with applicable laws and regulations

The Shev.io Disclaimer provides additional important limitations and is incorporated into these Terms.

20. Limitation of Liability

20.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEV.IO WILL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages
  • Lost profits, lost revenue, or loss of goodwill
  • Business interruption or loss of business opportunities
  • Loss of data or data corruption
  • Cost of procurement of substitute services
  • Any damages arising from your use or inability to use the Service
  • Any damages arising from Content inaccuracies or errors

EVEN IF SHEV.IO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

20.2 Cap on Liability

SHEV.IO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE, CONTENT, OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY YOU TO SHEV.IO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

20.3 Jurisdictional Variations

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations above apply to the greatest extent permitted by applicable law.

20.4 Essential Basis

The limitations and exclusions in this section are an essential basis of the agreement between you and Shev.io. Shev.io would not provide the Service without these limitations.

21. Indemnification

21.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Shev.io, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and costs) arising out of or related to:

  • Your or your Permitted Users' use of the Service
  • Violation of these Terms
  • Violation of any applicable law or regulation
  • Infringement of any third-party rights
  • Customer Inputs that infringe or violate third-party rights
  • Scraping, parsing, or unauthorized extraction of Content
  • Unauthorized redistribution of Content
  • Any misrepresentation made by you
  • Your failure to comply with applicable data protection laws

21.2 Indemnification Procedure

Shev.io will:

  • Provide prompt written notice of any claim
  • Allow you to control the defense and settlement (with Shev.io's consent, not unreasonably withheld)
  • Provide reasonable cooperation at your expense

22. Suspension, Termination, and Enforcement

22.1 Suspension and Termination by Shev.io

Shev.io may suspend or terminate your access immediately and without notice if:

  • You breach these Terms
  • Shev.io detects scraping, parsing, or attempted circumvention
  • You fail to pay fees when due
  • Your account shows suspicious or fraudulent activity
  • Continued access poses security, legal, or operational risk
  • Required by law or legal process
  • Your payment method is declined or revoked

22.2 Effect of Termination

Upon termination:

  • Your license to use the Service and Content ends immediately
  • You must cease all use of the Service and Content
  • You must delete or destroy all copies of Content in your possession
  • Unused credits are forfeited (except where mandatory law requires otherwise)
  • Shev.io may delete your account data after a reasonable retention period

22.3 Termination by Customer

You may stop using the Service at any time. To stop recurring charges, you must cancel auto-renewal before the renewal date through your account settings or by contacting support.

22.4 Survival

The following sections survive termination: Definitions, Ownership, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and any provisions that by their nature should survive.

22.5 Enforcement Remedies

Shev.io may use technical and legal measures to protect Content and the Service, including:

  • Blocking IPs, accounts, devices, or networks
  • Rate limiting and traffic shaping
  • Pursuing injunctive relief and damages in any court of competent jurisdiction
  • Requesting written certification of compliance
  • Auditing usage (with reasonable notice) for enterprise customers
  • Reporting violations to law enforcement

22.6 Liquidated Damages for Scraping/Unauthorized Redistribution

If Shev.io determines that you engaged in scraping, parsing, automated extraction, or unauthorized redistribution of Content, you agree to pay liquidated damages of $1,000 USD per incident or per day of continuing violation, whichever is greater, as a reasonable estimate of harm that is difficult to calculate precisely. This is in addition to any other remedies available to Shev.io, including actual damages if higher. This provision does not apply where prohibited by applicable law.

23. Governing Law and Dispute Resolution

23.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where Shev.io is incorporated, as specified on our website or invoices. In the absence of such specification, the governing law will be that of the jurisdiction where Shev.io's primary business operations are conducted.

23.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiations between the parties. If a dispute cannot be resolved through negotiations within thirty (30) days, either party may pursue resolution through the courts of competent jurisdiction.

23.3 Injunctive Relief

Notwithstanding the above, either party may seek urgent injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights, prevent unauthorized disclosure of confidential information, or prevent scraping, parsing, or unauthorized redistribution.

23.4 Individual Basis

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS. You agree not to participate in any collective or representative action against Shev.io, except where prohibited by applicable law.

24. Changes to These Terms

24.1 Right to Modify

Shev.io may update these Terms from time to time. We will:

  • Post the updated Terms on the Service
  • Update the "Last Updated" date
  • Provide additional notice for material changes (e.g., in-product notification or email)

24.2 Effective Date

If you have an active paid Subscription:

  • Changes generally take effect at your next renewal date
  • Changes required for legal, security, or operational reasons may take effect immediately

24.3 Acceptance of Changes

Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service before the effective date.

25. General Provisions

25.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and Shev.io regarding the Service and supersede all prior agreements and understandings.

25.2 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

25.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Shev.io's failure to enforce any right or provision shall not constitute a waiver of such right or provision.

25.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without Shev.io's prior written consent. Shev.io may assign these Terms without restriction.

25.5 Force Majeure
